AssetStudio - Reliability Engineering Solutions

1. AGREEMENT

This End User License Agreement ("Agreement") is a legal agreement between the individual or legal entity ("Licensee") and Asset Studio Pte Ltd ("AssetStudio") governing the installation and use of AssetStudio software products, including but not limited to:

AeROS™

Weibull-Toolbox™

together with associated documentation, updates, enhancements, and related materials (collectively referred to as the "Software").

By downloading, installing, activating, or using the Software, the Licensee agrees to be bound by the terms of this Agreement.

If the Licensee does not agree to these terms, the Software must not be installed or used.

2. LICENSE GRANT

Subject to the terms of this Agreement and payment of applicable license fees, AssetStudio grants the Licensee a limited, non-exclusive, non-transferable, revocable license to install and use the Software for internal business, educational, or research purposes.

The Software is licensed, not sold.

No ownership rights are transferred to the Licensee.

3. INTELLECTUAL PROPERTY

The Software, including source code, algorithms, user interfaces, databases, documentation, trademarks, graphics, and related materials, is the exclusive property of AssetStudio or its licensors.

The Software is protected by copyright, trade secret, trademark, and other intellectual property laws.

All rights not expressly granted herein are reserved by AssetStudio.

4. LICENSE RESTRICTIONS

The Licensee shall not:

a) Copy the Software except for reasonable backup purposes.
b) Reverse engineer, decompile, disassemble, modify, translate, adapt, or otherwise attempt to derive the source code, algorithms, or underlying methodologies of the Software.
c) Rent, lease, sublicense, distribute, sell, assign, transfer, or otherwise make the Software available to any third party.
d) Remove or alter copyright notices, trademarks, proprietary notices, or license information.
e) Circumvent licensing, activation, security, or usage-control mechanisms implemented by AssetStudio.
f) Use the Software in violation of applicable laws or regulations.

5. UPDATES AND SUPPORT

AssetStudio may provide updates, bug fixes, enhancements, or new versions from time to time.

Unless otherwise agreed in writing, AssetStudio is under no obligation to provide maintenance, technical support, updates, or enhancements.

Any updates provided shall be governed by this Agreement.

6. DISCLAIMER OF ENGINEERING RESULTS

The Software is intended as an engineering and analytical aid.

Results generated by the Software depend upon:

Data quality; Model assumptions; User configuration; Statistical validity; Engineering interpretation.

The Software does not replace professional engineering judgment.

The Licensee is solely responsible for reviewing, validating, and verifying all analyses, recommendations, conclusions, maintenance decisions, investment decisions, operational decisions, and business decisions derived from the Software.

7. DISCLAIMER OF WARRANTIES

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE."

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASSETSTUDIO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO:

MERCHANTABILITY; FITNESS FOR A PARTICULAR PURPOSE; NON-INFRINGEMENT; ACCURACY OF RESULTS; ERROR-FREE OPERATION; UNINTERRUPTED OPERATION.

ASSETSTUDIO DOES NOT WARRANT THAT THE SOFTWARE WILL MEET THE LICENSEE'S REQUIREMENTS OR THAT ALL DEFECTS WILL BE CORRECTED.

8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASSETSTUDIO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE USE OF THE SOFTWARE.

THIS INCLUDES, WITHOUT LIMITATION:

LOSS OF PROFITS; LOSS OF REVENUE; LOSS OF BUSINESS; LOSS OF DATA; LOSS OF GOODWILL; BUSINESS INTERRUPTION; COST OF SUBSTITUTE PRODUCTS OR SERVICES.

IN NO EVENT SHALL ASSETSTUDIO'S TOTAL LIABILITY EXCEED THE LICENSE FEES PAID FOR THE SOFTWARE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. TERM AND TERMINATION

This Agreement remains in effect until terminated.

AssetStudio may terminate this Agreement immediately if the Licensee violates any provision of this Agreement.

Upon termination, the Licensee shall:

Cease all use of the Software; Remove all installed copies; Destroy all backup copies.

10. MODIFICATIONS TO THIS AGREEMENT

AssetStudio reserves the right to modify this Agreement at any time.

The latest version will be published on the AssetStudio website.

Continued use of the Software after publication of revised terms constitutes acceptance of the revised Agreement.

11. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Singapore.

Any dispute arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Singapore.

12. SEVERABILITY

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between AssetStudio and the Licensee regarding the Software and supersedes all prior agreements and understandings.

APPENDIX A - AeROS™

Product Description

AeROS is a Reliability, Availability, Maintainability (RAM), production simulation, and life-cycle decision-support software platform.

Additional Disclaimer

AeROS may be used to support:

Reliability studies;
Availability studies;
Production forecasting;
Maintenance optimization;
Capital investment evaluations;
Life-cycle cost analyses.

The Licensee acknowledges that simulation results are predictive in nature and may differ from actual operational performance.

AssetStudio shall not be responsible for operational, maintenance, financial, investment, or business decisions made based upon AeROS results.
